These Terms of Service ("Terms") govern your access to and use of Skilluxo (the "Platform"), a marketplace operated by AFRISTACK SMART SYSTEM LTD that connects buyers ("Buyers" or "Clients") with independent freelancers ("Sellers" or "Freelancers") and with AI workers built by independent developers ("AI Developers") or by Skilluxo. By creating an account, browsing, or using any part of the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Skilluxo.
Skilluxo welcomes people from every country, subject to applicable law. You must be at least 18 years old to create an account or use Skilluxo. When you join, you complete a short enrollment ("About you") with your legal first and last name, country, phone number, date of birth, what you do, and why you are joining. You confirm that this information is true, that it belongs to you, and that you will keep it up to date. We use it to protect accounts and payments, to process payouts in your name, and to meet our legal obligations.
You are responsible for keeping your login details confidential and for all activity under your account. One person or legal entity may not maintain more than one active account without our written permission. We may ask you to verify your identity, phone number or bank details before you can withdraw money or use certain features.
Skilluxo provides the technology, escrow, safety tools and dispute process that let Buyers, Sellers and AI Developers transact safely. Skilluxo is not a party to the service agreement between a Buyer and a Seller: the scope, quality and delivery of work is the Seller's responsibility, and paying for it is the Buyer's. Skilluxo does not guarantee the outcome, quality or timeliness of any order, though we provide tools (revisions, disputes, reviews) to help resolve issues.
To publish a Gig, you must upgrade your account to a seller and accept the Skilluxo Merchant Agreement, confirming that:
Skilluxo may review, approve, reject, pause, or remove any Gig at its discretion, including for taxonomy, quality, or content-policy reasons.
Prices on Skilluxo are listed in US Dollars (USD). Buyers paying from Nigeria are charged in Nigerian Naira (NGN), and payouts to Nigerian bank accounts are made in NGN; these amounts are converted from USD at the exchange rate at the time of the transaction. Buyers paying from outside Nigeria may pay in US Dollars. The rate may differ slightly between browsing and checkout or payout.
A secure payment fee (currently 5%) is added to the Buyer's total at checkout. A marketplace service fee (currently 30%) is deducted from the Seller's earnings when funds are released. AI Developers receive the price of each completed AI job less the platform fee shown in their developer dashboard. Fees may be updated from time to time and are always shown before you pay or publish.
When a Buyer pays, the money is collected by our payment processors (Flutterwave, or Paystack as a backup) and held in escrow by Skilluxo. It is not released to the Seller until the Buyer approves the work, or automatically after the review window if the Buyer takes no action. Once the work is approved, the Seller's earnings stay in escrow for one more day. During that day they are shown in the Seller's wallet as "In escrow" with the time they become available, and then they move to the wallet balance automatically. This applies to every kind of earning: gig and custom orders, milestones, hourly timesheets, AI worker jobs and Workstation tasks.
Sellers may withdraw their wallet balance to a verified bank account at any time. Withdrawals are usually processed within 2 to 3 business days. New bank accounts may have a short safety hold before the first withdrawal. Payouts are made in NGN to Nigerian accounts via Flutterwave (or Paystack as a backup).
After funding an order, the Buyer must give clear requirements before the Seller is expected to begin work. The Seller delivers the completed work through the Platform. The Buyer may then approve the delivery (releasing payment), request a revision within the agreed scope, or open a dispute if the delivery does not match what was agreed.
AI workers are automated agents that complete specific tasks. Before paying, a Buyer can chat with an AI worker or fill in its brief and agree the price. Payment is held until the Buyer accepts the result, which happens automatically after the review window if the Buyer takes no action. The AI Developer's share then stays in escrow for one day and reaches their wallet the next day, as described in section 6. If an AI worker cannot finish a task, the Buyer is refunded in full. If a Buyer believes delivered AI work does not match what was agreed, the Buyer may report a problem before accepting it; Skilluxo reviews the job and decides whether to pay the AI Developer or refund the Buyer.
AI Developers are responsible for their AI workers: what they do with the data they receive, the results they deliver, and the third-party services they use. Every AI worker must pass Skilluxo's verification before it is published, and Skilluxo may pause or remove any AI worker. AI output can contain mistakes; Buyers should review results before relying on them.
A Workstation is a private project space where a Buyer works with several Freelancers and AI workers on one project, shares files, and passes approved results from one member to another. In a Workstation:
Problems with a Workstation task are reported before approval and handled under section 10.
If a Buyer and Seller cannot resolve a disagreement through revisions, either party may open a dispute (for Workstation and AI tasks, the Buyer reports a problem before approving). Skilluxo's support team reviews the requirements, delivered files and the related conversation, and may release funds to the Seller or AI Developer, refund the Buyer in full or in part, or require more revisions. Money stays in escrow until the dispute is decided. Skilluxo's decision on a dispute is final. Abuse of the dispute process, such as repeated bad-faith disputes to avoid paying, may lead to restrictions or suspension.
Escrow only protects you while the deal stays on Skilluxo. You must not use Skilluxo to meet people and then move the work or payment elsewhere. In particular, you must not:
Message safety filter. To protect Buyers and Sellers, Skilluxo uses an automated filter that checks the text of messages, proposals, custom offers and Workstation chat for contact details, bank details, outside payment links and phrases about dealing outside Skilluxo. No person reads your messages as part of this check. When a message matches, it is still delivered, the sender sees a reminder, and that single message is sent to Skilluxo's Trust & Safety team for review.
A Trust & Safety administrator may then read the flagged message and the conversation around it to understand what happened. Each such review requires a stated reason and is recorded. The administrator decides what happens next, which may be: no action; a warning; flagging the account for closer attention; restricting specific features (for example sending messages, applying to jobs, buying, publishing gigs or AI workers, or withdrawing money) for a period or until lifted; suspending the account; or closing it. We tell you by email when we warn you or restrict, suspend or close your account. Messages are also reviewed when needed for a dispute, fraud investigation or legal request.
You agree not to use Skilluxo to:
Upon full payment release, ownership of the specific deliverable created for an order transfers to the Buyer, except where the listing states otherwise (for example limited-use licenses, stock assets, or source files sold as a separate add-on). Sellers may display completed work in their public portfolio unless the Buyer asks for confidentiality in writing before the order begins. The Skilluxo name, logo, and platform software remain the exclusive property of Skilluxo.
Skilluxo provides messaging, Workstation chat and audio/video calling so Buyers, Sellers and AI workers can coordinate on orders. These tools are for legitimate work-related communication only. Message text is checked automatically by the safety filter described in section 11; otherwise, Skilluxo staff access message content only for a flagged message under review, a dispute, a fraud investigation or a legal request. You agree to receive transactional emails (order updates, receipts, security and safety notices) related to your account; these cannot be switched off because the service needs them.
Skilluxo is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Skilluxo's total liability arising from your use of the Platform will not exceed the fees paid by you to Skilluxo in the six months before the claim. Skilluxo is not liable for the quality, legality, or outcome of work delivered by independent Sellers or AI Developers, nor for indirect, incidental, or consequential damages.
Skilluxo may restrict specific features, suspend, or close your account for breaking these Terms, fraudulent activity, chargebacks, dealing outside the Platform, or to protect the Platform and its users. Restrictions can be for a set number of days or until lifted, and we tell you which features are affected. If your account is suspended or closed, money you earned for work that was completed and approved is handled fairly under these Terms; money connected to fraud or a breach may be held while we investigate and returned to the person it belongs to where the law allows. You may close your account at any time by contacting support, once any orders in escrow are completed or resolved.
We may update these Terms from time to time. Material changes are shown by a new "Last updated" date above and, where appropriate, by email or an in-app notice. Continued use of Skilluxo after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, and without prejudice to any mandatory consumer-protection rights you have under the laws of your own country.
